What to make of the Organigram, Aurora Cannabis deal?
Organigram Global (Organigram Global Stock Quote, Chart, News, Analysts, Financials TSX:OGI) has agreed to acquire Aurora Cannabis for approximately $561-million in a cash-and-stock transaction that would expand its international medical cannabis operations and create opportunities for more than $50-million in cost savings.
The Nov. 3 agreement values Aurora at $7.80 per share and follows the company’s rejection of a hostile takeover bid from Curaleaf.
Haywood Securities analyst Neal Gilmer said the acquisition would strengthen Organigram’s position in international markets by combining its Canadian recreational cannabis business and recently acquired Sanity Group operations in Europe with Aurora’s medical cannabis operations in Canada, Europe, Australia and New Zealand.
“We view the acquisition as strategically significant, as it adds scale and EU-GMP certified supply to OGI’s international business,” Gilmer said. “Furthermore, the company has identified more than C$50 million in synergies.”
Gilmer maintained his “Buy” rating and $3.25 target for Organigram, arguing that the acquisition builds on the company’s earlier purchase of Sanity Group and its efforts to increase revenue from international markets.
The combined company would operate five facilities certified under European Union Good Manufacturing Practice standards, providing additional production capacity to serve international medical cannabis markets. Gilmer said the anticipated savings would come from cross-selling opportunities, purchasing efficiencies, consolidated distribution, lower corporate expenses and directing production to lower-cost facilities.
Aurora shareholders can elect to receive $7.80 in cash, 5.8626 Organigram shares, or $3.75 in cash plus 3.0431 Organigram shares for each Aurora share, subject to proration.
“The offer represents a 93% premium to Aurora’s unaffected price on August 10, 2026, and a 21% premium to the implied value of the Curaleaf hostile bid,” Gilmer noted.
The transaction’s cash component will be financed through existing cash, a $187.5-million private placement by British American Tobacco and expanded credit facilities with ATB Financial. BAT, an existing strategic shareholder in Organigram, has agreed to purchase 141 million shares at $1.33 each. Its ownership would increase to approximately 42% on a partially diluted basis following the financing and acquisition. ATB has also committed to credit facilities of up to $210-million, replacing Organigram’s existing $70-million agreement.
“OGI continues to receive support from its strategic shareholder BAT to drive its growth strategy,” Gilmer said. “In an industry with limited access to capital, we view an increased investment from a strategic partner positively. The acquisition increases its global scale and reach and provides the opportunity to increase its international exposure.”
The transaction remains subject to shareholder, court and regulatory approvals.
Gilmer said Organigram’s growing international exposure is improving its margin profile, while a program to reduce the number of stock-keeping units should lower costs and improve manufacturing efficiency.
“Organigram is the market share leader in Canada and is also the leader in a number of the product categories,” Gilmer said. “The company is going through a SKU rationalization program that is expected to yield improvements to both its cost structure and margin profile.”
The analyst thinks additional margin improvement as Organigram completes its own European manufacturing certification process, complementing the certified capacity it would acquire from Aurora.
Gilmer also expects the company’s cost-reduction initiatives to support positive free cash flow in fiscal 2027. However, he has not incorporated the Aurora acquisition into his financial forecasts, pending the required approvals and greater certainty about the transaction’s completion.
He maintained his fiscal 2026 revenue forecast of $351.1-million and Adjusted EBITDA estimate of $34.9-million. For fiscal 2027, he expects revenue to increase to $474.5-million and Adjusted EBITDA to reach $62.8-million.
