Sernova merger gets thumbs up at Research Capital

Research Capital analyst Andre Uddin says Sernova Biotherapeutics’ (Sernova Biotherapeutics Stock Quote, Chart, News, Analysts, Financials TSXV:SVA) planned merger with Seraxis could create a more valuable cell-replacement platform for Type 1 diabetes.

In a Sept. 8 update, Uddin maintained his “Speculative Buy” rating on Sernova but temporarily withdrew his target and valuation pending shareholder approval of the merger.

“We believe SVA shareholders effectively receive exposure to 50% of a potentially much more valuable biotech platform,” Uddin said.

Sernova and privately held Seraxis announced a definitive merger agreement to create BetaNova Biotherapeutics, a U.S.-domiciled biotechnology company headquartered in Germantown, Maryland.

The combined company is expected to be owned about 50/50 by Sernova and Seraxis shareholders. The transaction is expected to close in November 2026, subject to shareholder approval.

Uddin said the deal combines Sernova’s Cell Pouch platform with Seraxis’s stem-cell-derived islet programs and cGMP manufacturing capabilities.

The analyst said the combination strengthens the development path toward a potential functional cure for Type 1 diabetes.

BetaNova’s lead program, SR-02, is expected to begin Phase 1/2 dosing in Q1 2027, with initial data expected by mid-2027. An investigational new drug application for SR-03 is expected in the second half of 2027.

The combined company also plans to pursue a Nasdaq listing in Q1 2027.

A US$10-million non-brokered convertible note financing has been committed by existing insider shareholders of Sernova and Seraxis.

Including the new debt, Uddin estimates Sernova’s current cash and debt positions at about US$10.9-million and US$16.0-million, respectively.

Uddin said he cannot yet estimate the combined company’s pro forma debt or enterprise value because Seraxis’s cash and debt balances have not been disclosed.
